Corporate Lawyer (4-6 years of experience)

To support the continued development of our Corporate & M&A practice, we are looking for an experienced and entrepreneurial Corporate Lawyer.

Your role

As a Corporate Lawyer, you will advise Belgian and international clients on a broad range of corporate matters and transactions. You will also assist clients with selected commercial law matters connected to their business activities.

Your work will include:

• advising companies throughout their lifecycle, including incorporations, reorganisations, capital operations and dissolutions;
• drafting and negotiating shareholders’ agreements and advising on corporate governance;
• assisting clients with Belgian and cross-border mergers and acquisitions;
• conducting and coordinating legal due diligence;
• drafting and negotiating transaction documents, including letters of intent, share purchase agreements, investment agreements and joint venture agreements;
• advising investors, shareholders, management teams and companies on private equity and venture capital transactions;
• assisting clients with commercial agreements and other day-to-day commercial law matters;
• assisting with shareholder and director disputes where required.

You will have direct contact with clients, take ownership of your matters and work closely with the partners and other members of our small, multidisciplinary team.

Your profile

We are looking for a lawyer who:

• has 4 to 6 years of relevant experience in corporate law and M&A;
• is admitted to a Belgian Bar (or is eligible for admission);
• is a native Dutch or French speaker, with a strong professional command of English;
• enjoys advising both Belgian and international clients;
• is interested in assisting clients with commercial law matters in addition to corporate work;
• has a genuine interest in technology, life sciences and other innovative industries;
• has strong legal, analytical and drafting skills;
• understands the commercial realities behind legal questions and provides pragmatic, business-focused advice;
• is comfortable using AI-enabled legal and productivity tools, and understands the importance of critical review, confidentiality and responsible use;
• is able to manage matters independently while enjoying close teamwork in a small collaborative environment;
• is proactive, committed and comfortable taking responsibility;
• has an entrepreneurial mindset and an interest in developing long-term client relationships.
